Terms of use

These Terms of Use (“Agreement”) govern your use of QuickSales, an order management ERP software developed by Price Reporter Inc. (“Price Reporter”). By accessing or using QuickSales, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms and conditions, you may not access or use QuickSales.

General Website Terms

Usage of our website and information provided by us implies your acceptance of the terms and conditions set further in these Terms of Use. The following terms and conditions regulate your use of this website, the services offered by Price Reporter via the website, and all of the graphics, information, artwork, function, software, forms, and any other materials, resources, and content available by Price Reporter (the “Price Reporter Content”). As a user of this website and the Price Reporter Content, you are granted a non-transferable, nonexclusive, limited, revocable, personal license to access and use such website and the Price Reporter Content, in compliance with these terms and conditions. Price Reporter may terminate this license for any reason at any time. If you breach any of these Terms of Use, this limited license terminates automatically, without any notice to you. Price Reporter may make improvements and/or changes to its features, functionality, or the Price Reporter Content, at any time.

Price Reporter is an incorporation service company that was created to allow you to form your corporation, limited liability partnership, limited partnership, or limited liability company, (as allowed by state or local jurisdictional law) in different states or local jurisdictions within the United States. As well as being able to form your own business, Price Reporter can be used for other types of state, federal, and county filings, as may be offered by Price Reporter. Price Reporter uses the information provided by you on our order forms to complete the information required on the appropriate federal, state, or county forms. By submitting a Price Reporter order form and agreeing to the terms outlined in Price Reporter’s Terms of Use, you agree to allow Price Reporter to file the ordered documents on your behalf. In rare cases, and only when required by state law, Price Reporter will enter your name on the web-based Secretary of State filing application, as an electronic signature.

Data Protection

QuickSales operates in accordance with Price Reporter’s data protection policy, which be design complies with all of Price Reporter’s integrated partners Data Protection Policies (General Services Administration (GSA), DOD FedMall, DLA Dibbs, MilStrip, NIH, USDA, Intramalls, IRS, Varis, Amazon, Wallmart, Overstock, NewEgg Visa, MasterCard, Authorize.Net, Paytrace, Google, Microsoft, etc.). By using QuickSales, and any of Price Reporter’s services and software, you acknowledge and agree that Price Reporter may collect, use, and disclose data as described in its data protection policy, which is incorporated by reference into this Agreement.

License and Use

Subject to the terms and conditions of this Agreement, Price Reporter grants you a non-exclusive, non-transferable license to use QuickSales solely for your internal business purposes. You may not sublicense, assign, or transfer your rights under this license without the prior written consent of Price Reporter. You shall not modify, reverse engineer, decompile, or disassemble QuickSales or create derivative works based on QuickSales.

Intellectual Property.

QuickSales, including but not limited to its software, user interface, design, logos, and trademarks, are owned by Price Reporter and its licensors, and are protected by intellectual property laws. You may not use, reproduce, or distribute QuickSales without the prior written consent of Price Reporter. All rights not expressly granted in this Agreement are reserved by Price Reporter.

Except as expressly set further in these Terms of Use, nothing contained herein shall be construed as conferring any license or right, by implication or otherwise, under the copyright or other intellectual property rights. You agree that this website and Price Reporter Content is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws.

This website may include various product names, business names, logos, slogans, and other marks in which Price Reporter has a registered trademark interest or other protectable interest (collectively “Price Reporter Marks”). It may also include product names, business names, logos, slogans, and other marks in which others have a protectable interest (collectively “Other Marks”). You may not in any way use any Price Reporter Marks or Other Marks on this website without the prior express written permission of the appropriate owners.

Not Legal Advice

Price Reporter is not a law firm and neither Price Reporter nor any of its employees provide legal or professional services or advice, and should not be relied upon as such. If legal or other professional assistance is needed, we recommend that you search for competent professional services. User Content

You may submit content, such as data and information, to QuickSales (“User Content”). By submitting User Content, you represent and warrant that you have the necessary rights to submit such User Content and that it does not violate any third-party rights. You retain ownership of your User Content, but you grant Price Reporter a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with the operation and improvement of QuickSales.

This Website may allow users to post text, images, audio, video, links to other sites, or other content to the Website (“User Content”). As a consequence, you may see materials that have been submitted to this Website by individuals not affiliated with Price Reporter. Neither Price Reporter nor any of its affiliates endorse these individuals, nor are we in any way associated with any of the materials that they may post on this Website or links to and from this Website. Neither Price Reporter nor its affiliates (nor their respective officers, employees, or agents) shall have any responsibility or liability of any nature whatsoever arising in connection with any materials provided by these individuals, or in connection with any conduct of these individuals.

Please note: Price Reporter will not publish suggestions from small businesses that sell or promote any of the following: drugs, drug paraphernalia, pharmaceuticals, firearms/weapons, gambling, diet aids, pornography or sexual aids, tobacco, or liquor. Each user who posts any User Content acknowledges and agrees that Price Reporter has the right, in its absolute discretion, to delete or remove or alter any User Content it deems inappropriate, illegal, or otherwise offensive or inaccurate. Any user who posts any User Content hereby represents that such User Content does not violate any third-party intellectual property rights and further grants Price Reporter a license to show and make this content accessible on the Price Reporter website, or any successor or affiliate site. You acknowledge that QuickSales may contain confidential and proprietary information of Price Reporter. You agree to keep such information confidential and not disclose it to any third party, except as required by law. You shall use the same degree of care to protect Price Reporter’s confidential information as you use to protect your own confidential information.

Limitation of Liability

QuickSales is provided on an “as is” and “as available” basis, and Price Reporter does not warrant that it will be uninterrupted or error-free. To the maximum extent permitted by law, Price Reporter disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall Price Reporter be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of QuickSales, even if Price Reporter has been advised of the possibility of such damages.

Price Reporter does not provide insurance or any other liability coverage concerning the information provided to us, the Price Reporter Content, or as a result of services rendered by us.

Limitations On Use

Use of this website and Price Reporter Content is limited to lawful business purposes. Any unauthorized use of this website or the Price Reporter Content is prohibited. Price Reporter may seek any available legal solution or take any reasonable business steps to ward off the unauthorized use of, or access to, this website and the Price Reporter Content, and to block access to users who violate these Terms of Use. Price Reporter’s solutions include the right to seek equitable relief. Reverse engineering, disassembly, rent, lease, loan, sale, sublicensing, time-sharing, or providing information processing services to any third party is prohibited. Service bureau-type services to any third party, or creation of derivative works from this website and the Price Reporter Content are prohibited. The use of any network monitoring or discovery software to determine the site architecture, or extract information about usage or users is prohibited. You are not allowed to use any robot, spider, or other automatic device or manual process to monitor or copy this website or the Price Reporter Content without Price Reporter’s prior written permission. You are not allowed to download, copy, modify, perform, alter, edit, reproduce, republish, enhance, distribute, redistribute, display or transmit all or any portion of this website or the Price Reporter Content in any manner, except to the extent expressly permitted by these Terms of Use. You may not use or otherwise export or re-export this website or any portion thereof, the Price Reporter Content, or any software available on or through this website in violation of the export control laws and regulations of the United States of America.

Indemnification

You agree to indemnify, defend, and hold harmless Price Reporter and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including but not limited to attorney’s fees, arising out of or in connection with your use of QuickSales, your User Content, or your violation of this Agreement or any applicable law or regulation.

Termination

Price Reporter may terminate this Agreement and your access to QuickSales at any time for any reason or no reason. Upon termination, you shall immediately cease all use of QuickSales and destroy all copies of QuickSales or any of its components in your possession or control. Termination of this Agreement shall not affect any rights or obligations that by their nature should survive termination, including but not limited to intellectual property rights, confidentiality obligations, and limitations of liability.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Price Reporter is located, without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with this Agreement shall be resolved exclusively in the courts of the jurisdiction in which Price Reporter is located, and you hereby submit to the personal jurisdiction of such courts.

Entire Agreement

This Agreement constitutes the entire agreement between you and Price Reporter regarding your use of QuickSales and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between you and Price Reporter.

Amendments

Price Reporter reserves the right to amend this Agreement at any time in its sole discretion. Any amendments will be effective upon posting of the updated Agreement on QuickSales or providing notice to you. Your continued use of QuickSales after such amendments constitutes your acceptance of the amended Agreement.

Waiver

No failure or delay by Price Reporter in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall not be affected and shall continue in full force and effect.

Relationship of the Parties

Nothing in this Agreement shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship between you and Price Reporter. You shall have no authority to bind Price Reporter or incur any obligations on behalf of Price Reporter.
